Welcome to Elias Services Ltd, trading as Futurebound (“Futurebound”, “we”, “us”, “our”).
These Terms and Conditions govern your access to and use of all Futurebound services, including memberships, subscriptions, online education, coaching, workshops, live events, tools, digital resources, and communications.
By accessing, purchasing, or using any Futurebound service, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.
These Terms apply to all Futurebound services unless otherwise stated at the point of purchase.
2. Definitions
Services means all memberships, subscriptions, online courses, coaching, workshops, live events, tools, resources, and communications provided by Futurebound.

5. Fees, Payments & Subscriptions
5.1 General
Fees are disclosed at the time of purchase. By completing payment, you authorise Futurebound to charge the applicable fees using the payment method provided.
All prices are in New Zealand dollars unless stated otherwise.
5.2 Subscriptions
Where a Service is offered as a subscription:
Subscription-specific terms, including cancellation instructions, may be outlined at checkout or in the applicable Rules of Engagement.
5.3 Payment Plans
Payment plans may be offered as a convenience and do not reduce the total price unless expressly stated.
If a payment fails:
Failure to complete a payment plan does not entitle you to a refund.
5.4 Pricing Changes
We may change the prices of our Services from time to time.
Where a price change affects an existing subscription or other ongoing paid Service, we will provide reasonable advance notice of the change. Any rights you have to cancel or otherwise respond to the change will be communicated with the notice where applicable.
Unless we expressly state otherwise, changes to the price of separately purchased or optional Services, including coaching sessions and coaching packages, apply only to purchases made on or after the effective date of the new pricing.
A pricing change will not retrospectively change the price or conditions of a Service you have already purchased, unless we agree otherwise with you or the change is required by law.
Current prices and any applicable conditions will be disclosed at the point of purchase.
6. Refunds, Guarantees & Cooling-Off
Due to the digital and educational nature of our Services:

Futurebound may receive referral fees or commissions from Third-Party Providers. We disclose any such commissions at the time of referral, as required by the Secret Commissions Act 1910. This does not affect the cost to you.

All content, systems, tools, frameworks, and materials are owned by Futurebound or licensed to us.
You may not copy, reproduce, distribute, or commercialise any content without prior written permission.

15. Force Majeure
We are not liable for failure or delay in performance due to events beyond our reasonable control, including illness, platform outages, natural disasters, or government restrictions.
16. Assignment
We may assign or transfer our rights and obligations under these Terms as part of a business restructure, sale, or transfer.
17. Termination
We may suspend or terminate access to Services where these Terms are breached.
Termination does not affect any payment obligations already incurred.
18. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
19. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or our website.

- "Member / Participant / User" means any individual who accesses or purchases our Services.
- "Subscription" means a recurring payment arrangement billed at regular intervals until cancelled.
- "Rules of Engagement" means product-specific terms, guidelines, or participation rules applicable to a particular Service.
- "Third-Party Provider" means any external business or professional not operated by Futurebound.
- "Services" means all memberships, subscriptions, online courses, coaching, workshops, live events, tools, resources, communications, and includes the "My Freedom Blueprint" digital application and all associated tools, calculators, and features.
- "Digital Tools" means any software, applications, or online platforms provided as part of the Services, including My Freedom Blueprint.
3. Nature of Services (Important)
Futurebound provides financial education, tools, systems, and coaching support only.
We do NOT provide financial advice:
- We do not give recommendations or opinions about acquiring or disposing of (or not acquiring or disposing of) any particular financial product
- This includes specific home loans, mortgage structures, KiwiSaver schemes, or investments
- We are not licensed Financial Advice Providers under the Financial Markets Conduct Act 2013
- We do not hold ourselves out as financial advisers
Our services are limited to:
- Providing factual information about financial products
- Discussing financial products in general terms
- Explaining procedures and strategies
- Presenting hypothetical calculations based on your inputs

- Show hypothetical projections only, not guaranteed outcomes
- Are for educational and planning purposes only
4. User Obligations

- Use the Services for personal use only
- Keep login details secure and confidential
- Not share, resell, or redistribute access or content
- Comply with all applicable Rules of Engagement

5. Fees, Payments & Subscriptions
5.1 General
Fees are disclosed at the time of purchase. By completing payment, you authorise Futurebound to charge the applicable fees using the payment method provided.
All prices are in New Zealand dollars unless stated otherwise.
5.2 Subscriptions
Where a Service is offered as a subscription:
- Payments are charged automatically at the agreed interval
- Subscriptions continue until cancelled by you
- Cancellation takes effect at the end of the current billing period unless otherwise stated
- Access continues until the end of the paid period
Subscription-specific terms, including cancellation instructions, may be outlined at checkout or in the applicable Rules of Engagement.
5.3 Payment Plans
Payment plans may be offered as a convenience and do not reduce the total price unless expressly stated.
If a payment fails:
- Access may be paused or cancelled
- Outstanding balances remain payable
Failure to complete a payment plan does not entitle you to a refund.
5.4 Pricing Changes
We may change the prices of our Services from time to time.

- No cooling-off period applies unless expressly stated at the point of purchase
- Change of mind does not entitle you to a refund
- Where a refund or money-back guarantee is offered:
- It applies only to the specific Service stated
- All conditions must be met in full

7. Memberships & Rules of Engagement
Certain Services operate as memberships with ongoing access and support.
Each membership may have specific Rules of Engagement covering matters such as:
- Access and participation
- Community behaviour
- Cancellations
- Guarantees
- Use of tools and resources
These Rules form part of these Terms and are incorporated by reference.
8. Coaching, Programs & Events
Participation in coaching, programs, or events does not guarantee any specific financial or personal outcome.
Results depend on individual circumstances, engagement, and implementation.We reserve the right to:
- Reschedule or cancel sessions where required
- Substitute facilitators where necessary
8.1 Individual Sessions & Session Packages
Futurebound may offer one-on-one coaching sessions, strategy sessions, and other individual sessions (“Individual Sessions”) as standalone purchases or as part of a session package.
Active Academy Membership Required
Individual Sessions are available only to members with a current and active Futurebound Academy membership. Futurebound does not provide Individual Sessions outside of an active Futurebound Academy membership.
You must have an active Futurebound Academy membership both when booking and when attending an Individual Session.
From time to time, Futurebound may allow a person to purchase an Individual Session or session package before their Academy membership becomes active, including during a limited intake or offer period. Where we allow this, the applicable validity period for the Individual Session or package will begin when the person's Academy membership becomes active, unless otherwise stated at the time of purchase.
Purchasing an Individual Session or session package does not, by itself, create or activate an Academy membership.
Session Validity
Unless otherwise stated at the time of purchase, a single Individual Session is valid for 30 days. The session must be booked and initially scheduled to take place within that validity period.
Where multiple Individual Sessions are purchased as a package, the validity period for the package is calculated at 30 days for each session included in the package.
For example, a package containing three sessions is valid for 90 days, and a package containing six sessions is valid for 180 days.
All Individual Sessions included in a package must be booked and initially scheduled to take place within the applicable package validity period.
The number and type of sessions included, the applicable validity period, and any other package-specific conditions will be disclosed at the time of purchase.
Rescheduling
Where an Individual Session has been booked and initially scheduled to take place within the applicable validity period, that session will be treated as having met the validity requirement.
If that session subsequently needs to be rescheduled, the replacement session may take place outside the original validity period, subject to our cancellation, rescheduling, and rebooking terms.
Rescheduling one Individual Session does not extend the validity period for any other unused or unbooked sessions in a package.
Availability
Individual Session bookings are subject to coach availability. If you make reasonable attempts to book within the applicable validity period but Futurebound is unable to offer a reasonably available appointment within that period, we may arrange for the session to take place after the validity period without the session expiring.
Expiry
Any Individual Session that has not been booked and initially scheduled to take place within its applicable validity period will expire.
Expired Individual Sessions are not refundable or transferable, except where required by law or where Futurebound agrees otherwise.
8.2 Cancellation, Rescheduling & Missed Coaching Sessions
When you book a one-on-one coaching session, that appointment time is reserved for you. Because coaching availability is limited, we ask that you provide more than 24 hours' notice if you need to cancel or reschedule your appointment.
More than 24 hours' notice
You may cancel or reschedule a coaching session without charge where you provide more than 24 hours' notice before the scheduled start time.
Less than 24 hours' notice
If you cancel or request to reschedule a coaching session within 24 hours of its scheduled start time, a $30 rebooking fee will apply.
The coaching session itself will not be forfeited. The $30 rebooking fee must be paid before a replacement appointment can be booked.
Missed appointments
If you do not attend a scheduled coaching session and have not cancelled or rescheduled it more than 24 hours before its scheduled start time, a $30 rebooking fee will apply.

Exceptional circumstances
We understand that unexpected circumstances can arise. Futurebound may, at its discretion, waive a rebooking fee where we consider this reasonable in the circumstances.
If Futurebound needs to reschedule
If Futurebound or your coach needs to cancel or reschedule your appointment, no rebooking fee will apply. We will arrange a replacement appointment with you.
Where a Futurebound-initiated cancellation or rescheduling means that the replacement appointment falls outside the original validity period for your session or coaching package, the session will remain valid and will not expire as a result of the change.
Session validity
Rescheduling a session does not extend the validity period of any other unused or unbooked sessions. Session validity and expiry are governed by section 8.1 of these Terms.
9. Community Participation & Conduct
Where Services include community spaces or group participation:
- Respectful behaviour is required
- Harassment, abuse, or disruption will not be tolerated
We reserve the right to moderate, remove content, or revoke access to community spaces at our discretion.
10. Referrals to Third-Party Providers
We may introduce or refer you to Third-Party Providers.
Important:
- Futurebound does not control their services
- We are not responsible for their advice, actions, or outcomes
- Any engagement is at your own discretion and risk

11A. Digital Tools & Software License
11A.1 License Grant
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use the My Freedom Blueprint app while your membership is active
- Use digital tools for personal financial education only
- Access features according to your membership level
11A.2 Restrictions
You may not:
- Reverse engineer, decompile, or modify the software
- Share login credentials or access
- Use automated systems to access tools
- Copy or resell any part of the application
11A.3 Technical Terms
- Tools are provided "as is" without technical warranties
- We may update, modify, or discontinue features
- Technical support is provided at our discretion
- Your access ends when your membership ends
- Nothing in this section limits rights under the Consumer Guarantees Act 1993
12. Confidentiality
You agree to maintain the confidentiality of:
- Other participants
- Group discussions
- Proprietary processes and materials
13. Limitation of Liability

- We do not guarantee outcomes

13.2 Digital Tools Specific
For digital tools and applications including My Freedom Blueprint:
- We are not liable for technical errors or downtime
- We are not liable for data loss or corruption
- We are not liable for inaccurate calculations due to user input
- We are not liable for financial decisions based on tool outputs
- Digital tools are provided "as is" without technical warranties
